1. Introduction
1.1 These “Price Plan and Promotional Terms and Conditions” govern the price plans and promotional offers supplied by Vodafone and purchased by Customer in accordance with the Customer’s Customer Agreement.
1.2 In the event there is a conflict between these “Price Plan and Promotional Terms and Conditions” and the terms and conditions of the Customer’s Customer Agreement then these “Price Plan and Promotional Terms and Conditions” shall prevail.
1.3 These “Price Plan and Promotional Terms and Conditions” are subject to change from time to time.
2. Email Product Price Plans
2.1 In the event that Vodafone supplies and Customer elects to receive a price plan for an E-Mail Product then this clause 2.1 shall apply.
2.1.1 In the event that a data price plan for an E-mail Product includes bundled megabytes for roaming usage then such inclusive megabytes shall only apply to End Users who have a UK SIM Card (one with a dialing code prefix of 44) which registers on the UK Network at least once a calendar month. In the event that an End User does not register on the Vodafone Network as least once a calendar month then Vodafone shall be entitled to remove the End User’s SIM Card from that price plan and charge Customer Vodafone’s Standard List Price. In the event that Customer wishes to have permanent data roaming functionality when connected to an data price plan Customer shall be charged for a UK based price plan and charged the Standard List Price for megabyte usage whilst outside of the UK.
2.1.2 In the event that a data price plan for an E-mail Product has a monthly allowance of inclusive megabytes and usage on such data price plan exceeds the inclusive megabyte limit then a data usage Charge shall apply for each additional megabyte (or part thereof) used at Vodafone’s Standard List Price (unless there is a fair usage policy in place for such data price plan as set out within these “Price Plan and Promotional Terms and Conditions” whereby such fair usage terms shall apply).
2.1.3 A data price plan Access Fee may be inclusive of usage only in relation to specific Software applications via the applicable Software that sits on the Customers computer server. Such Software applications shall be available from Vodafone upon request by Customer. Any other data usage by a device on a data Price Plan Product shall be charged at Vodafone’s Standard List Price.
2.1.4 In the event that a specific Connection supports both voice and data usage and where Customer requests then Vodafone shall, where technically possible, disable support for voice usage.
2.1.5 All Charges that relate to data price plans are set out within the Standard List Price;
2.1.6 In the event that a data price plan is for UK usage only any usage outside of the UK shall not be included within the bundle and shall be charged on a per megabyte (or part thereof) basis at Vodafone’s Standard List Price for such data price plan;
2.1.7 Any unused megabytes within a data price plan bundle shall not be carried forward to the following month;
2.1.8 Customer may change a data price plan every three months from the initial connection to such data price plan.
2.2 In the event that Vodafone supplies and Customer elects to receive a Windows Mobile price plan:
2.2.1 Customer shall ensure that UK usage does not exceed 100 megabytes per calendar month per connection. In the event that Customer’s usage on a single connection exceeds 100 megabytes in a calendar month then Vodafone shall inform Customer to moderate the Customer’s usage so that it comes under 100 megabytes. If such usage is not moderated then Vodafone shall be entitled to (at any time);
2.2.1.1 move such connection to another data price plan; or
2.2.1.1 charge Customer for all usage in excess of 100 megabytes per calendar month at the rate of £1.00 per megabyte (or part thereof).
3. Mobile connect card price plans
3.1 In the event that Vodafone supplies and Customer elects to receive a mobile connect card price plan:
3.1.1 all such price plans are monthly data bundled price plans and all charges are set out within the Standard List Price;
3.1.2 and such price plan is for UK usage only any usage outside of the UK is not included within the bundle and shall be charged at Vodafone’s Standard List Price;
3.1.3 any unused data within the bundle shall not be carried forward to the following month;
3.1.4 the Customer may change a mobile connect card price plan 6 months from the Effective Date of the Minimum Term upon 30 days notice and then when the Customer requires with 30 days notice. The Customer may change to a mobile connect card price plan with a higher Access Fee at anytime; and
3.1.5 any usage outside of the bundle shall be charged at Vodafone’s Standard List Price.
3.2 Any 3G usage over 1.8 Megabits per second shall be charged at Standard List Prices.
3.3 In the event that Customer selects the Data Unlimited or Data Travel price plan option then Customer shall ensure that UK usage does not exceed 1 gigabyte per calendar month per connection. In the event that Customer’s usage on a single connection exceeds 1 gigabyte in a calendar month then Vodafone shall inform Customer to moderate the Customer’s usage so that it comes under 1 gigabyte. If such usage is not moderated then Vodafone shall be entitled to (at any time);
3.3.1 move such connection to another data price plan; or
3.3.2 charge Customer for all usage in excess of 1 gigabyte per calendar month at the rate of £0.50 per megabyte (or part thereof).
3.4 In the event that Vodafone supplies and Customer selects the ‘Data Travel’ price plan then the inclusive megabytes in such price plan shall be in addition to the inclusive megabytes set out in the ‘Data Unlimited’ price plan.
4. Businesstime or Anytime price plans
4.1 In the event Vodafone supplies and Customer elects to receive a Businesstime or Anytime price plan:
4.1.1 the number of free of charge inclusive minutes available to the Customer is set out within the name of the price plan. All calls made outside of the inclusive minutes shall be charged in accordance with the Vodafone’s Standard List Price (unless discounted within Customers Agreement);
4.1.2 free of charge inclusive minutes shall include the following call types as set out within the price plan selected by the Customer (all other call types shall be excluded):
4.1.2.1 Calls to UK geographically based numbers only;
4.1.2.2 Calls to Vodafone Mobile Telephones;
4.1.2.3 Calls to the Vodafone voicemail system in the UK; and
4.1.2.4 Calls to mobile telephones with a SIM Card not issued by Vodafone (but with a +44 SIM).
4.1.3 any unused free of charge inclusive minutes shall be carried over to the next month but shall not be applied to subsequent months. Free of charge inclusive minutes shall be applied against calls made as follows; first, inclusive minutes carried over from the previous month and; second, inclusive minutes awarded for that month;
4.1.4 and changes to a new price plan then any unused free of charge inclusive minutes on the original price plan shall not be carried over to the new price plan.
4.2 In the event that Customer selects the Businesstime price plan Customer may change to a higher price plan that has a higher Access Fee at any time from the Effective Date of the Minimum Term by providing Vodafone with 30 days notice of the change.
4.3 In the event that Customer selects the Businesstime price plan Customer may change to a price plan that has a smaller Access Fee 3 months from the Effective Date of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice.
4.4 In the event that Customer selects the Anytime price plan Customer may change to a price plan that has a higher Access Fee at any time from the Effective Date of the Minimum Term by providing Vodafone with 30 days notice of the change.
4.5 In the event that Customer selects the Anytime price plan Customer may change to a price plan that has a lower Access Fee within 9 months from the Effective Date of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice.
4.6 The minimum call charge for circuit switch voice calls on the Anytime price plan is 4.2 pence.
4.7 The Businesstime price plan shall have a minimum call charge of 3 pence for circuit switch voice calls and 4 pence for packet switch data calls made within the UK.
5. Sharetime, Sharetime Plus & Small Business price plans
5.1 In the event that the Vodafone supplies and Customer elects to receive a Sharetime, Sharetime Plus or Small Business price plan:
5.1.1 the parent Access Fee shall be charged at a higher rate than the child Access Fee whereby each child connection may utilise the inclusive minutes available to the parent connection;
5.1.2 the first 60 minutes of each on-VPN call shall be free of charge subject to clause 5.1.6 below. After the first 60 minutes, of each on-VPN call, the charge will be in accordance with the Vodafone to Vodafone rate for the price plan selected;
5.1.3 the number of free of charge inclusive minutes for all Sharetime, Sharetime Plus or Small Business price plans available to the Customer is set out within the name of the price plan. The free of charge inclusive minutes shall apply after the first 60 free of charge minutes of the call;
5.1.4 free of charge inclusive minutes shall include the following call types as set out within the price plan selected by Customer (all other call types shall be excluded):
5.1.4.1 Calls to UK geographically based numbers only; and
5.1.4.2 Calls to Vodafone Mobile Telephones; and
5.1.4.3 Calls to the Vodafone voicemail system in the UK; and
5.1.4.4 Calls to mobile telephones with a SIM Card not issued by Vodafone (but with a +44 SIM).
5.1.5 any unused free of charge inclusive minutes shall be carried over to the next month but shall not be applied to subsequent months. Inclusive minutes shall be applied against calls made as follows; first, inclusive minutes carried over from the previous month and; second, inclusive minutes awarded for that month;
5.1.6 for the Sharetime 500 price plan the maximum number of connections that may be activated at any one time shall be 10. For any one of the Sharetime 750 and 1250 price plans the maximum number of connections that may be activated at any one time shall be 20. For any one of the Sharetime 2500, 5000 and 8000 price plans the maximum number of connections that may be activated at any one time shall be 100. For 14000 price plans the maximum number of connections that may be activated at any one time shall be 150. For Sharetime 24000 price plan the maximum number of connections that may be activated shall be 200.
5.1.7 For any one of the Sharetime Plus 2500, 4000, 6000 and 8000 the maximum number of connections that may be activated at any one time shall be 100. For any one of the Sharetime Plus 12000 and 16000 price plans the maximum number of connections that may be activated at any one time shall be 150. For any one of the Sharetime Plus 24000 and 48000 price plans the maximum number of connections that may be activated at any one time shall be 200.
5.1.8 For any one of the Small Business 100 and Small Business 200 the maximum number of connections that may be activated at any one time shall be 2. For any one of the Small Business 300 and Small Business 500 price plans the maximum number of connections that may be activated at any one time shall be 5. For any one of the Small Business 800 and Small Business 1000 price plans the maximum number of connections that may be activated at any one time shall be 10. For any one of the Small Business 1200 and Small Business 1500 the maximum number of connections that may be activated at any one time shall be 15. For any one of the Small Business 2000 and Small Business 3000 price plans the maximum number of connections that may be activated at any one time shall be 20.
5.2 In the event that Customer selects the Sharetime price plan Customer may change to a price plan that has a higher Access Fee at any time from the Effective Date of the Minimum Term by providing Vodafone with 30 days notice of the change.
5.3 In the event that Customer selects the Sharetime price plan Customer may change to a price plan that has a lower Access Fee 3 months from the Effective Date of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice.
5.4 In the event that Customer selects the Sharetime Plus or Small Business price plan Customer may change to a price plan that has a lower Access Fee 6 months from the Effective Date of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice.
5.5 In the event that the Customer changes price plan any unused free of charge inclusive minutes on the original price plan shall not be carried over to the new price plan.
5.6 The Sharetime price plans shall have a minimum call charge of 3 pence for circuit switch voice calls and 4 pence for packet switch data calls made within the UK.
6. Business caller, Business Caller Plus price plans
6.1 In the event that Vodafone supplies and Customer elects to receive a Business Caller or Business Caller Plus price plan:
6.2 Customer may change to a lower price plan no earlier than 3 months from the Effective Date of the start of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice.
6.3 Customer may change to a lower price plan no earlier than 6 months from the Effective Date of the start of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice.
6.4 Customer may change to a higher price plan at any time from the Effective Date of the start of the Minimum Term by providing Vodafone with 30 days notice.
6.5 The Business caller, Business Caller Plus plans shall have a minimum call charge of 3 pence for circuit switch voice calls and a minimum charge of 4 pence for packet switch data calls made within the UK.
7. Commercial Caller & Commercial Caller Plus
7.1 In the event that Vodafone supplies and Customer elects to receive a Commercial Caller or Commercial Caller Plus price plan:
7.2 Customer may change to a lower price plan no earlier than 6 months from the Effective Date of the start of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice.
7.3 Customer may change to a higher price plan at any time from the Effective Date of the start of the Minimum Term by providing Vodafone with 30 days notice.
7.4 The Commercial Caller or Commercial Caller Plus price plans shall have a minimum call charge of 3 pence for circuit switch voice calls and a minimum charge of 4 pence for packet switch data calls made within the UK.
7.5 Each on-VPN call shall be charged at a rate of 4.5 pence.
8. Company Caller & Company Caller Plus price plans
8.1 In the event that Vodafone supplies and Customer receives the Company Caller or Company Caller Plus price plan:
8.1.1 the first 60 minutes of each on-VPN call shall be free of charge; and
8.1.2 other call types and calls made after the first 60 minutes shall be charged in accordance with the price plan as selected by the Customer; and
8.1.3 Customer may change to a lower price plan no earlier than 6 months from the Effective Date of the start of the Minimum Term by providing Vodafone with 30 days notice and then whenever required subject to 30 days notice; and
8.1.4 Customer may change to a higher price plan at any time from the Effective Date of the start of the Minimum Term by providing Vodafone with 30 days notice; and
8.1.5 a minimum call charge of 3 pence for circuit switch voice calls and 4 pence for packet switch data calls made within the UK shall apply.
9. Extra Pack (text messages, text bundles or mobile internet)
9.1 In the event that Vodafone supplies and Customer elects to receive a text, megabyte extra pack or mobile internet then the following terms and conditions as set out within this clause 9 shall apply:
9.1.1 a text or megabyte extra pack may be added to the Customer’s existing price plan;
9.1.2 the available text bundles or megabyte bundles with applicable Charges are set out within the Standard List Price;
9.1.3 a text or megabyte extra pack are added to a Sharetime, Sharetime Plus or Small Business price plan the applicable bundle shall be cascaded for use by the child users;
9.1.4 any unused bundled usage shall not be carried over to the following month;
9.1.5 only one extra pack can be selected at any one time for each connection; and
9.1.6 the bundled quantity excludes roaming usage, which shall be charged at Vodafone’s Standard List Price;
Miscellaneous
For Business, Anytime, Sharetime, Sharetime Plus, Small Business, Business Caller, Business Plus, Commercial Caller, Commercial Caller Plus, Company Caller and Company Caller Plus and Extra Packs, effective 1 July 2009:
An 'unrestricted' data or voice price plan or data bundle specifically allows you to use mobile internet for (1) calls over the internet (voice over IP); and/or (2) peer to peer communication services. If Customer uses mobile internet for (1) and/or (2) above and Customer is not on an unrestricted data bundle we may do 1 or more of the following:
1)block access to the services; and/or
2)restrict network performance; and/or
3)charge you for use at the full published rates as set out at www.vodafone.co.uk
10. Vodafone Passport
10.1 In the event that Vodafone supplies and Customer elects to receive the Vodafone Passport price plan then the terms and conditions as set out within this clause 10 shall apply:
10.2 Vodafone Passport shall only be available for Small Business; Businesstime, Anytime, Sharetime, Sharetime Plus Company Caller, Company Caller Plus, Commercial Caller, Commercial Caller Plus, Business Caller and Business Caller Plus price plans subject to this clause 10 and shall not be available on any other price plan.
10.3 In the event that Customer requires Vodafone Passport, Customer shall register for Vodafone Passport by calling their normal customer management number, account manager or calling 5555. If Customer does not register then Vodafone shall not provide Customer with Vodafone Passport.
10.4 Providing that the Vodafone Mobile Telephone originating a call is on a network as set out within clause 10.7, the Vodafone Passport Charges shall be applied to:
10.4.1 circuit switched calls made to geographically based area codes within the UK (+44 international dialling prefix); or
10.4.2 mobile telephones with SIM Cards with an international dialling prefix for the country in which the Vodafone Mobile Telephone is roaming; or
10.4.3 mobile telephones with a +44 international dialling prefix.
10.4.4 Vodafone Passport Charges shall also be applied to received circuit switched calls where the Vodafone Mobile Telephone is roaming onto a network as set out in clause 10.7.
10.5 All calls that are not as set out within clause 10.4 shall not be eligible for Vodafone Passport pricing and Customer’s roaming Charges shall apply as set out within Customer’s existing Customer Agreement.
10.6 For calls where Vodafone Passport Charges apply, the Charges shall be as set out within this clause 9.6.
10.6.1 A one-off Charge of 63.8 pence shall apply for each call made or received in the European Union and 75 pence for each call made or received whilst in a country not in the European Union.
10.6.2 A Charge equivalent to the Standard List Price for the same call made within the UK. For the avoidance of doubt any discounts from the Standard List Price that Customer would be due for such call within the UK shall not apply where Vodafone Passport Charges apply.
10.6.3 Eligible circuit switched calls, as set out within clauses 10.4.1, 10.4.2 and 10.4.3, shall be subject to a minimum duration of 60 seconds and on completion of the first 60 seconds call duration shall be measured in 30-second increments, with part 30-second increments rounded up to the next whole 30-second increment.
10.6.4 Received circuit switched calls, as set out in clause 10.4, with a duration of more than 60 minutes shall be subject to an additional charge of 17.01 pence for calls received within the European Union and 20 pence for calls received whilst in a country not within the European Union per minute rounded up to the next whole minute for all minutes in excess of 60.
10.6.5 Eligible calls as set out within clause 10.4 shall count towards the price plan bundles available to Customer.
Where Customer is entitled to discounted or free On-VPN calls within their price plan then, where Vodafone Passport Charges apply, such discounted or free On-VPN calls shall be included in the relevant price plan bundle of minutes and when such bundle of minutes is exhausted then calls shall be charged at the Standard List Price for the relevant price plan.
10.7 Vodafone Passport shall only be available in the countries and specific networks set out in this clause 10.7.

The list of countries and networks available within this clause may change from time to time.
10.8 Vodafone may not receive records for calls made from foreign networks for processing until several weeks after the call is made. Eligibility for calls to be part of the inclusive minutes within Customer’s price plan is determined at the time Vodafone processes the call record, not when the call is made.
11. Vodafone Office 2 Mobile
11.1 In the event that Vodafone supplies and Customer receives the Vodafone Office 2 Mobile price plan:
11.2 Vodafone Office 2 Mobile is only available in conjunction with Vodafone’s virtual private network products; Sharetime Plus, Sharetime, Company Caller, Company Caller Plus, Commercial Caller and Commercial Caller Plus.
11.3 Vodafone Office 2 Mobile plans provide the ability to make telephone calls between Customer’s fixed-line telephones and UK mobile telephone numbers via the PSTN, without requiring a private circuit to bypass the PSTN. Customer’s existing private telephone exchange shall be configured (by the customer) to automatically dial, as a prefix to the Vodafone mobile phone number, an indirect access code to route such telephone calls via the PSTN.
11.4 Vodafone Office 2 Mobile Small, Medium and Large price plans include two bundles of voice minutes for calling from the company landlines, 1) to non-company mobiles, 2) to mobiles within the company’s mobile virtual private network. Vodafone Office 2 Mobile Small includes 1000 non-company minutes and 2000 mobile virtual private network minutes. Vodafone Office 2 Mobile Medium includes 2000 non-company minutes and 4000 mobile virtual private network minutes. Vodafone Office 2 Mobile Large includes 4000 non-company minutes and 8000 mobile virtual private network minutes.
11.5 Customer is permitted to have a maximum of two hundred Vodafone Office 2 Mobile subscriptions (in any combination of Vodafone Office 2 Mobile price plan) within the customer’s Mobile VPN.
11.6 Customer shall procure BT exchange-lines for each of their private telephone exchanges over which Customer requires to make indirect access calls.
11.7 The Vodafone Office 2 Mobile Product shall only function with specific telephone exchange-line types. Where Vodafone Office 2 Mobile calls are originated by fixed-line extensions only BT subscriber exchange-lines not subscribing to BT’s light user scheme or BT's in contact scheme and BT subscriber exchange-lines not connected to a BT UXD5 telephone exchange can be used. Customer shall pay all costs for the provision and rental of these BT subscriber exchange-lines. The Vodafone Office 2 Mobile Product functions with both analogue (PSTN) and digital (ISDN) subscriber exchange-lines provided directly or indirectly (through a 'Calls and Access Service Provider') by BT but the Vodafone Office 2 Mobile Product shall not function with BT payphone exchange-lines and all exchange-lines that are not provided by BT wholesale.
11.8 The Vodafone Office 2 Mobile Product shall only function with UK geographic PSTN telephone numbers i.e. Vodafone shall only accept registration requests for telephone numbers commencing with the digits 01- or 02-. Customer shall pay all costs for the provision and rental of these PSTN telephone numbers. The Vodafone Office 2 Mobile Product functions with both individual telephone numbers and direct dialing inwards (DDI) telephone number ranges provided by any UK public telecommunications operator but the Vodafone Office 2 Mobile Product shall not function with international telephone numbers (commencing 00-) and all other UK telephone numbers (including, without limitation, numbers commencing 05-, 07-, 08- and 09-).
11.9 Customer shall (on receipt of an Order Acceptance from Vodafone) procure that the maintainer of their private telephone exchange reprogram all of Customer’s private telephone exchanges to insert the appropriate indirect access code as a prefix to all dialled mobile numbers (all numbers prefixed with 077, 078 or 079) and to route such calls over the appropriate BT exchange-lines. Customer shall pay all costs associated with such works.
11.10 In taking Office 2 Mobile the customer is agreeing to divert all Customers’ fixed-line to mobile calls (all numbers prefixed with 077, 078 and 079), using the indirect access code.
12. Blackberry All-inclusive Promotion
12.1 In the event that Vodafone supplies and Customer elects to receive the BlackBerry All Inclusive Promotion this clause 12 shall apply.
12.2 The BlackBerry All Inclusive Promotion allows Customer to purchase the BlackBerry Product and spread the initial Charges over a monthly basis for either a 12 months or 24 month period. The aggregated Charges shall be applied to each Blackberry Device.
12.3 The BlackBerry All Inclusive Promotion is available for Customers who currently do not purchase BlackBerry services from Vodafone.
12.4 In the event that Customer cancels one or all of the Blackberry Devices prior to the end of the agreed promotional contract term, Customer will be liable for remainder of the Charges on that Blackberry Device for the remainder of the agreed promotional contract term.
12.5 In the event that Customer decides to add Blackberry Devices after the initial purchase Customer has 2 options when purchasing:
12.5.1 Pay for the new Blackberry Devices at Vodafone’s Standard List Price, then pay the monthly BlackBerry price plan charge as set out in Customer Business Agreement.
12.5.2 Pay for the additional devices using the spread payment pricing.
12.6 In the event that Vodafone agree to offer Customer this promotion Customer shall receive the following equipment and services without the Charges for them being applied whereby an Access Fee for such promotional Products (in addition to Customers BlackBerry price plan Access Fee) shall apply for either 12 or 24 months as applicable:
12.6.1 A BlackBerry Device (the type of Blackberry Device made available under this promotion is at Vodafone’s discretion)
12.6.2 Client Access Licence (CAL)
12.6.3BES Installation (1 day’s premium installation)
12.6.4BlackBerry Enterprise Server (BES)
12.7 There are two types of BES, one for up to 15 users (small BES), one for more than 15 users (full BES). If the initial Customer commitment is for 16 or more Blackberry Devices, Customer shall receive a full BES as part of the promotional package. If the initial Customer commitment is for less than 16 Blackberry Devices, Customer shall receive a small BES as part of the promotional package.
12.8 All Equipment and Software supplied under this promotion shall remain the property of Vodafone until all payments have been made.
12.9 In the event that all payments have been made Customer shall pay the BlackBerry price plan charges as set out within the Customers Business Agreement.
13. Mobile Internet Free Trial Promotion
13.1 When you subscribe to the mobile internet web browsing pack you will receive one calendar month’s subscription free. After one month your subscription of £7.50 per month will be charged to your pay monthly bill unless you terminate your subscription in accordance with its terms.
13.2 The web browsing pack gives you 120MB data allowance per month. If you take out a subscription mid-month your free month’s data allowance will be pro-rated e.g. if you take out a subscription on 15 March, your allowance will be split as 60MB until 31 March, and 60MB until 14 April. If you exceed your allowance, you will be charged at our standard charge for data access.
13.3 Because subscription payments are taken in advance, charges for the following billing period may show on your bill after you have notified us that you wish to cancel your subscription. These charges will be corrected on your next bill.
13.4 You can cancel your subscription at anytime by calling 191, through the My Account pages on your handset or by visiting a Vodafone store. Once you notify us that you wish to cancel, the pack will be removed from your account with near immediate effect.
