Your Agreement
1. Your agreement with us is made up of:
a. the Airtime Agreement, Enterprise Multiple Connection Agreement or Enterprise Framework Agreement;
b. these Price Plan Terms; and
c. the Price Plan details in the order form or otherwise notified to you.
2) Prices and information apply for pay monthly services where Vodafone is the Service Provider. Other Service Providers may have different prices and terms.
3) In these terms “we”, “us” or “our” means Vodafone Limited and “you” or “your” means the customer named on the order form or stated in the welcome pack.
Your Connection
4. The agreement will be for a minimum term during which time you must pay the monthly line rental and other charges. Unlimited minutes and texts are for calls and texts to standard UK landlines (beginning 01, 02 and 03), Vodafone mobiles, voicemail and other mobile networks within the UK, subject to Vodafone’s Fair Use Policy.
5. There are two types of connection available on Vodafone Business Clarity; a Hardware Connection and a Non-hardware Connection.
Hardware Connection:
With a Hardware Connection you get a mobile handset or other device or benefit (as negotiated by you with your advisor) together with a connection to the Vodafone network on the Vodafone Business Clarity price plan. You can build a Hardware Group made up of one Leader and up to 49 Sharers. The Leader and each of the Sharers must commit to a 24 month agreement.
Non-hardware Connection:
With a Non-hardware Connection you get a connection to the Vodafone network on the Vodafone Business Clarity price plan. You can build a Non-hardware Group made up of one Leader and up to 49 Sharers. The Leader must commit to a 24 month agreement. Each of the Sharers must commit to a 30 day agreement.
You cannot mix and match connections between groups. For example you cannot connect a Non Hardware Sharer under a Hardware Leader.
6. If you decide to change a Hardware Connection to a Non-hardware Connection, or cancel any of your Hardware Connections during the 24 month agreement you will be charged a termination fee which is calculated based on the number of months you have left on your Hardware Connection at the date of termination or migration.
7. To be eligible for the Vodafone Business Clarity price plan you must have all your voice connections on Vodafone Business Clarity. If you combine your voice connections between Vodafone Business Clarity and a different Vodafone price plan (for example Vodafone Total Business) we will either:
a. migrate all your voice connections onto the price plan to which the majority of your other connections are subscribed. We will notify you of this change by phone or email. If you contact us within 30 days of notification you may choose the price plan to which we migrate your voice connections; or
b. terminate your voice connections with Vodafone.
8. You agree that to benefit from Vodafone Business Clarity you must have more than one voice connection on the Vodafone Business Clarity price plan. If at any time your voice connections on Vodafone Business Clarity are reduced to one we will contact you so that you may either:
a. choose the price plan to which that remaining voice connection will migrate; or
b. add more voice connections to your Vodafone Business Clarity price plan.
Calls
1. All calls are counted per second. Our pricing information is on our website www.vodafone.co.uk/businessclarity.
2. We charge different rates if you call abroad from the UK. We may change these prices from time to time. Please speak to your business advisor for details.
3. Any call you make that is not answered is free. We don’t charge you for receiving calls unless you are abroad where you will be charged for the international leg of the call.
4. Individual calls are charged excluding VAT and rounded up to one-tenth of a penny. The total of all calls and other charges on your monthly bill is then rounded down to the nearest penny and VAT added. The net of VAT charges is accumulated and VAT is calculated on the total sum on all subscribers connected to your billing account. This total is then rounded up to the nearest whole penny.
5. Calls to 08 non-geographic numbers (up to 21.2p/minute) and 070 personal numbers (up to 51p/minute) are excluded from allowance.
Messages
1. A standard text message is 160 characters long. You can send longer ones on some handsets. Longer messages are divided into the number of texts required to convey the message. Each text will be counted according to your price plan and our Fair Use Policy applies. We do not guarantee delivery of any text or Multimedia Messaging Service (MMS) message you send. Short codes, MMS and premium texts are not included in Vodafone Business Clarity and will be charged at your price plan rate.
2. The maximum size of an MMS is 300KB and you will be charged at your price plan rate. If a message contains multiple media items you’ll be charged for the most expensive item in the message.
3. You won’t be charged for receiving text or MMS messages, except for reverse charged messages or messages you receive when you are abroad.
Video Calls
1. Charges for video calls start when the called party accepts the call, even if the call subsequently fails. Therefore a failed call may be subject to a minimum charge. These charges can be found at http://www.vodafone.co.uk/businessclarity. Video calls on the Vodafone network are subject to Vodafone’s 3G network coverage. Further information on 3G network coverage can be found at www.vodafone.co.uk/ukcoverage or at any Vodafone retail store.
Data access
1. If you subscribe to a data or email bundle, then you will be provided with a monthly data allowance. Data used outside your monthly allowance or if you have not subscribed to a data or email bundle will be charged at the published rates for your price plan. This information can be found at the link set out below.
2. For contracts on or after 1 July 2009:
An 'unrestricted' data or voice price plan or data bundle specifically allows you to use mobile internet for (1) calls over the internet (voice over IP); and/or (2) peer to peer communication services. If you use your mobile internet for (1) and/or (2) above and you are not on an unrestricted data bundle we may do 1 or more of the following:
1)block access to the services; and/or
2)restrict network performance; and/or
3)charge you for use at the full published rates as set out at www.vodafone.co.uk
3. If Vodafone Content Control prevents you from accessing any Vodafone live! or mobile internet page, or internet content, you will still incur a mobile browsing charge at your normal price plan rate for any data used in the attempt to view the content.
4. Access to Vodafone data services will be configured by default on your handset if you get it from Vodafone. You may be denied access to data services if you use different configuration and we may charge you differently for the traffic generated on these attempts. Older handsets may be configured to make a phone call to access Vodafone Mobile Internet. These calls will be charged per minute at Vodafone's published rates.

Roaming
1. If you haven’t added a roaming package to your price plan, you will be charged a roaming rate to use your mobile to call or send a text when you are abroad. For details on roaming rates, charging increments, minimum call charges terms and conditions see www.vodafone.co.uk/goingabroad
2. Charges for premium rate and satellite calls will vary according to the cost charged by the foreign network operator, exchange rate fluctuations and may include minimum charges. A network-handling fee will be applied to these calls.
3. If you haven’t added a data roaming package to your price plan you will be charged Vodafone’s published data roaming charges to access data abroad. We have divided the world into Zones and each Zone carries a different charge. We may change the Zones from time to time so before you travel please check the list of the countries in each Zone at www.vodafone.co.uk/goingabroad.
4. Data transfer charges apply if you send or receive an MMS whilst you are abroad. The charges will vary depending upon the size of message.
General
1. Prices and promotions are correct at time of going to press, but may change at any time. We will inform you of changes to your price plan in line with your airtime agreement.
2. Prices only apply to business customers (not individuals or consumers) and are for business use only. All business price plans are primarily designed for business customers (customers with up to 250 employees) and are made available on the basis that they are used for reasonable business usage by the account holder.
3. The price plans are not made available for the purposes of resale, whether on a commercial basis or otherwise. If any of the price plans (or the services or devices which utilise the price plan) are used in such a way as to cause, or be likely to cause, Vodafone to be in breach of any legal or regulatory requirements, Vodafone reserves the right to suspend and/or disconnect the service(s) or device(s) and/or use of the relevant price plan.
4. You shall not connect or continue connection by itself nor allow anyone to connect or continue connection of any GSM Gateways to the Vodafone network without the prior written consent of Vodafone, which may be withheld at Vodafone’s absolute discretion according to the current GSM Gateway Commercial Policy as communicated from time to time. You shall cooperate with Vodafone at all times to ensure that such GSM Gateways as are connected to the Vodafone network remain compliant with the applicable law and with Vodafone’s GSM Gateway Commercial Policy. Vodafone retains the right to alter or amend the contractual terms or the GSM Gateway Commercial Policy at Vodafone’s discretion by giving a minimum of 30 days notice Customer may apply for a GSM Gateway in accordance with the GSM Gateway Commercial Policy via the Customer Account Manager.
5. All Vodafone services offered free or under unlimited subscription are subject to our Fair Use Policy. If, in the reasonable opinion of Vodafone, your use is excessive, we may ask you to moderate your usage. If, after we have asked you to moderate your usage, you fail to do so, we reserve the right to charge you for the excessive element of your usage (10p per minute and 10p per text), throttle your usage or to suspend or terminate your service in accordance with your Airtime Agreement, Enterprise Multiple Connection Agreement or Enterprise Framework Agreement.
6. Itemised bills list each chargeable call (including GPRS) and messages (picture and text messages) made. This service costs £1.28 a month.
7. If you prefer not to set up a direct debit to pay your monthly charges, a monthly fee of £3.00 is charged per account.

Vodafone Business Clarity Summer Promotional Terms
1. This promotion is valid for all Vodafone Business Clarity customers from 1 June to 31 August 2009, inclusive.
2. During the promotional term all roaming calls (i.e. calls made outside of the UK to any country within footprint) and international calls (i.e. calls made from the UK to any country in the footprint) and texts are available at no extra cost. Countries included in the footprint are as follows: Czech Republic, Germany, Greece, Hungary, Ireland, Italy, Malta, Netherlands, Portugal, Romania, Spain, UK and France.
3. At the end of the promotional term, rates for roaming and international calls and texts will revert back to our standard Vodafone World rates unless you have selected another roaming and international bundle (eg. Roaming Bundle or Vodafone One Europe).
